Requirements
Must:
- Juris Doctor (J.D.) degree and licensed to practice in Florida
- Minimum of 4 years experience in mergers and acquisitions and corporate transactions
- Proficient in drafting, negotiating, and managing transactions
- Familiarity with corporate governance, business formation, and private offerings
- Preferred: Knowledge in business tax law with a focus on corporate transactions
- Excellent interpersonal skills with strong advisory and leadership abilities
Responsibilities
- Oversee and handle complex M&A transactions from Letter of Intent through to post-closing
- Draft and negotiate stock and asset purchase agreements, operating agreements, shareholder agreements, and employment contracts
- Provide legal counsel on joint ventures, capital raises, and corporate governance matters
- Advise clients on business structuring, risk assessment, and compliance issues
- Collaborate with internal teams and clients on deal strategies and tax implications
- Mentor junior attorneys and assist legal staff with their development
- If applicable, provide guidance on business tax planning and compliance in corporate transactions
